Terms of Use

1. Acceptance of Terms

By accessing or using the Junera Marketing Support Hub (the "Hub"), you agree to be bound by these Terms of Use ("Terms"). The Hub is owned and operated by Onyxa Medical, Inc. ("Onyxa Medical™," "we," "us," or "our"). If you do not agree to these Terms, you must not access or use the Hub.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Hub following any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

2. Authorized Use

The Hub is intended exclusively for authorized Junera practice partners, licensed healthcare professionals, and their designated marketing personnel ("Authorized Users"). Access to the Hub may require authentication credentials provided by Onyxa Medical or its authorized representatives.

Authorized Users may use the Hub's marketing materials, templates, and resources solely for the purpose of promoting Junera™ treatments within their practice, in accordance with these Terms and all applicable laws and regulations.

3. Intellectual Property Rights

All content, materials, software, designs, graphics, text, images, videos, logos, trademarks, trade dress, and other intellectual property displayed on or made available through the Hub (collectively, "Hub Content") are the exclusive property of Onyxa Medical, Inc. or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Onyxa Medical grants Authorized Users a limited, non-exclusive, non-transferable, revocable license to access and use Hub Content solely for the purpose of marketing Junera treatments within their authorized practice. This license does not transfer any ownership rights in the Hub Content.

RESTRICTIONS ON USE

Authorized Users shall not:

• •Modify, alter, or create derivative works from Hub Content without prior written consent from Onyxa Medical
• •Remove, obscure, or alter any trademark notices, copyright notices, or other proprietary markings from Hub Content
• •Use Hub Content to promote any product, service, or device other than Junera
• •Sublicense, sell, distribute, or otherwise transfer Hub Content to unauthorized third parties
• •Use Hub Content in any manner that is misleading, defamatory, or that violates applicable laws or regulations
• •Reverse engineer, decompile, or disassemble any software or technology underlying the Hub

4. Regulatory Compliance

Junera is a Class II medical device cleared by the U.S. Food and Drug Administration under 510(k) number K212734. The device is intended for use by licensed healthcare professionals only.

Authorized Users are responsible for ensuring that their use of Hub Content complies with all applicable federal, state, and local laws and regulations, including but not limited to FDA regulations (21 CFR Part 801), FTC advertising standards, state medical board guidelines, and HIPAA requirements.

Marketing materials provided through the Hub are designed to comply with FDA regulatory requirements. Authorized Users must not modify clinical claims, outcome statistics, or regulatory language in any Hub Content. Any marketing materials created using Hub tools (including AI-generated content) must be reviewed for regulatory compliance before publication.

5. AI-Generated Content

The Hub includes AI-powered content generation tools, including the Emma™ marketing assistant. Content generated by these tools is provided as a starting point and must be reviewed by the Authorized User before publication. Onyxa Medical does not guarantee the accuracy, completeness, or regulatory compliance of AI-generated content.

Authorized Users are solely responsible for reviewing, editing, and approving all AI-generated content before use in any marketing, advertising, or patient-facing materials. Onyxa Medical disclaims all liability for any claims, damages, or regulatory actions arising from the use of AI-generated content without proper review.

6. Clinical Content & Medical Disclaimer

Clinical data, treatment parameters, and outcome statistics presented on the Hub are derived from peer-reviewed published studies and are provided for informational and marketing purposes only. This content does not constitute medical advice, diagnosis, or treatment recommendations.

Healthcare professionals should exercise independent clinical judgment when making treatment decisions. Patient selection, treatment parameters, and expected outcomes should be determined on a case-by-case basis by the treating physician.

7. Before & After Images

Before & after images available through the Hub depict actual patient results from treatments performed by trained healthcare professionals. Individual results may vary based on patient anatomy, treatment parameters, provider technique, and other factors.

Authorized Users who use before & after images in their marketing materials must include the disclaimer: "Individual results may vary. Images show results from trained providers." Authorized Users must not alter, retouch, or digitally enhance before & after images in any way that misrepresents treatment outcomes.

8. Third-Party Services & Links

The Hub may integrate with or link to third-party services, including but not limited to Canva (for template customization), social media platforms, and email marketing tools. Onyxa Medical is not responsible for the content, privacy practices, or terms of use of any third-party services.

Your use of third-party services is governed by their respective terms and policies. Onyxa Medical does not endorse, warrant, or guarantee any third-party services accessible through the Hub.

9. Confidentiality

Certain Hub Content, including competitive intelligence data, pricing information, sales strategies, and proprietary marketing frameworks, is confidential and proprietary to Onyxa Medical. Authorized Users agree to maintain the confidentiality of such information and not to disclose it to any unauthorized third party. This obligation survives termination of access to the Hub.

10. Termination

Onyxa Medical may suspend or terminate your access to the Hub at any time, with or without cause, and with or without notice. Upon termination, your license to use Hub Content immediately ceases, and you must destroy all copies of Hub Content in your possession.

Sections relating to intellectual property rights, confidentiality, limitation of liability, and indemnification shall survive termination of these Terms.

11. Disclaimers & Limitation of Liability

THE HUB AND ALL HUB CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONYXA MEDICAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE HUB, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

Onyxa Medical's total liability for any claim arising from these Terms or your use of the Hub shall not exceed the amount paid by you, if any, for access to the Hub during the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Onyxa Medical, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Hub, your violation of these Terms, or your violation of any applicable law or regulation.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Hub shall be resolved exclusively in the state or federal courts located in Austin, Texas.

You agree to waive any right to a jury trial in connection with any dispute arising from these Terms.
